General Counsel Services
- Counsel for Maine companies assisting in corporate structuring and risk compliance and governance in establishing the first legally compliant recreational marijuana cultivation facility and retail store in Maine.
- As outside counsel for medical services company, conducted a corporate internal investigation for alleged inflated invoices.
- Counsel for staffing company in reviewing and negotiating various transactional documents such as employment contracts, commercial leases, and service contracts.
- Assisted closely-held media company with restructuring of ownership and review of operating agreements.
- Represented majority shareholder in the negotiation and sale of interest to minority shareholders in manufacturing company.
- As co-counsel, represented Florida port operator in renegotiation of joint venture terms and helped draft revised joint-venture agreement.
Litigation & Dispute Resolution
- 28 USC § 1782: counsel of record for § 1782 petitioner in Diez v. Bernal, No. 18-MC-21951 (S.D. Fla. 2018).
- Shareholder/Partnership Disputes: Represented shareholder in closely held company in derivative action. Ron v. Parrado, 359 So. 3d 831 (Fla. 3d DCA 2023).
- Disputes Regarding Delivery of Goods: Represented Saudi buyer regarding delivery of non-conforming track shoes.
- Local Counsel: Local counsel for NY Law firm representing § 1782 petitioner in the Southern District of Florida. In Re: Sindicato Das Empresas De Transporte De Passageiros Do Estado De Sao Paulo, No. 23-24067-MC-Lenard (S.D. Fla.).
- Arbitration: Counsel on two international arbitration proceedings related to oil and gas disputes emanating from Brazil. One dispute was before the ICC and the other was before the LCIA. Both disputes resolved prior to final hearing.
- Arbitration: Appointed and served as secretary to the tribunal in seven international arbitration proceedings administered by the ICDR. The arbitral proceedings involved such matters as recission of purchase and sale of Ecuadorian engineering company by a foreign purchaser, dispute regarding distribution contract related to the delivery of perishable goods between Nicaraguan supplier and North American conglomerate, and dispute regarding the purchase and sale of fish between U.S. entity and Chinese entity.
- Arbitration: Represented client in final arbitration hearing before JAMS regarding dispute with financial institution.
- International Litigation – MENA: Obtained judgment for Saudi Arabian client for breach of contract relating to cryptocurrency investment and worked with client’s Saudi Arabian counsel to ensure enforceability of the judgment in Saudi Arabia.
- International Litigation – MENA: Obtained judgment for Saudi Arabian client for breach of contract relating to cryptocurrency investment and worked with client’s Saudi Arabian counsel to ensure enforceability of the judgment in Saudi Arabia.
- International Litigation – MENA: Assisted client in Baghdad, Iraq regarding inheritance dispute.
- Trial: Counsel in multiple Florida state court bench trials.
- Trial: Counsel for plaintiff in federal jury trial during Covid-19 pandemic in King v. Akima Glob. Services, LLC, No. 16-cv-25254 (S.D. Fla.)
- Appeals: Prevailed on appeal on the trial court’s grant of a motion to compel arbitration of shareholder dispute. Ron v. Parrado, 359 So. 3d 831 (Fla. 3d DCA 2023) (oral argument can be found here)
- Appeals: Litigated successful appeal of district court’s grant of judgment on the pleadings before the Eleventh Circuit Court of Appeals. King v. Akima Glob. Services, LLC, 775 F. App’x 617 (11th Cir. 2019)
